A Singapore Branch company must have 2 local agents on board. If you are short of an agent or two, Singapore-Company can help you out by providing you with one Local Agent (on a longer term basis), or two on a short-term basis, until you find your own people to act.
LLPs give owners the flexibility to operate as a partnership, while having a separate legal identity (and limited liability) like a private limited company. Liability of the partners is limited to the amount that each partner contributed to the LLP. The partners are not personally liable to the obligations of the LLP. A partner is, however, personally liable for claims from losses resulting from his/her own negligence or wrongful act. The LLP has perpetual succession, which means that any change in the partners of a LLP will not affect its existence, rights or liabilities.
Partners of an LLP may be a mix of individuals and/or corporations, local and/or foreign, but the LLP must always have an individual (natural person) Local Manager on board. If a foreigner wants to be a partner (or the Local Manager) and be based in Singapore he/she must apply for an Employment Pass. For assistance in setting-up an LLP and/or applying for an Employment Pass to be a Partner/Local Manager, please contact us for a quotation.
If you have not yet found a suitable local candidate, or installed your own foreign personnel as the Local Manager on an Employment Pass, Singapore-Company can help you out by providing you with a Local Manager, for a reasonable fee, for a period up to 3 months.
A Singapore Company must have least one “locally residing” (Singaporean, Singapore Permanent Resident) director on board, before it can be incorporated with the companies registry (ACRA).
In special cases, on a short-term basis, Singapore-Company can offer you the service of a named Local Director until you find your own person for the role. After your company has been established, either your local recruit or one of your foreign directors/key employee can apply for a Singapore Employment Pass to work in Singapore, and become the local director. Following which, as the statutory requirement is now met, our nominee can resign.
